1. Acceptance of Terms

By visiting, registering for, or using any BuildXaite website, dashboard, API, app, product, or service, you acknowledge that you have read, understood, and agree to these Terms & Conditions.

If you are accepting these Terms on behalf of an entity, you represent that you have authority to bind that entity. In that case, “you” and “your” refer to the entity and its authorized users.

If you disagree with any part of these Terms, you must immediately stop using BuildXaite services.

2. About BuildXaite

BuildXaite is an AI SaaS ecosystem that may include tools for marketing workflows, customer communication, automation, website and funnel creation, data management, reporting, integrations, and related capabilities.

The exact features, limits, and capabilities available to any customer depend on selected plans, account configuration, connected integrations, geography, technical factors, and product roadmap changes.

References to “Services” in these Terms include all current and future BuildXaite offerings unless a separate agreement explicitly states otherwise.

3. Eligibility

You must be at least the age of majority in your jurisdiction and have legal capacity to enter a binding contract to use BuildXaite.

You may not use the Services if you are prohibited by applicable law, sanctions, or restrictions from receiving software or digital services.

• You are responsible for ensuring all users under your account are eligible.
• You must provide truthful information when requested for verification purposes.
• You must not use BuildXaite in jurisdictions where your usage would be unlawful.

4. Account Registration

To access many BuildXaite features, you may be required to create an account. You agree to provide accurate, current, and complete registration information.

You agree to keep account details updated, including billing, contact, and business information where applicable. BuildXaite may rely on this information for account administration and notices.

• Accounts are personal or organizational and must not be shared outside authorized teams.
• You may not impersonate another person or entity when registering.
• BuildXaite may reject or revoke registrations that violate these Terms.

5. Account Security

You are responsible for safeguarding login credentials and for all actions performed under your account, whether authorized by you or not.

6. Subscriptions and Plans

Features can vary by plan tier and may change over time. Some features may be available only in specific regions, to specific account types, or behind controlled rollouts.

• Upgrades may take effect immediately or at the next billing cycle based on policy.
• Downgrades may reduce access to advanced features and limits.
• Legacy plans may be retired with reasonable advance notice.

7. Payments and Billing

You authorize BuildXaite or its payment processor to charge all applicable fees, taxes, and other charges to your selected payment method.

Subscription fees are billed in advance on a recurring basis unless otherwise stated. You are responsible for maintaining valid billing information.

• Late, failed, or declined payments may result in restricted access or suspension.
• Prices may change with notice as described in these Terms.
• Taxes, duties, and local fees are your responsibility unless stated otherwise.

8. Free Trials

BuildXaite may provide free trial access for limited periods. Trial duration, included features, and usage limits are determined by BuildXaite and may vary between offers.

Unless otherwise disclosed, trial accounts may convert to paid subscriptions at the end of the trial period if a billing method is on file.

BuildXaite may modify, suspend, or terminate trial access at any time without liability, particularly in cases of abuse or misuse.

9. Cancellation

You may cancel your subscription according to options made available in your account or by contacting BuildXaite support.

Unless stated otherwise, cancellation prevents future renewals but does not retroactively void charges already incurred for the current billing period.

After cancellation, access to certain features may continue until the end of the paid term and then downgrade or end.

10. Refunds

Refund eligibility, exclusions, and request timelines are governed by the BuildXaite Refund Policy .

Except where required by applicable law, fees are non-refundable and non-creditable once charged. Promotional, discounted, or custom-priced plans may carry separate conditions.

Submitting a chargeback without first contacting BuildXaite may result in account restrictions during investigation.

11. Permitted Use

You may use BuildXaite only for lawful business or personal operations in accordance with these Terms and all applicable laws and regulations.

• Use the Services in ways consistent with published documentation and policies.
• Respect rights of end users, customers, and third parties.
• Maintain your own internal controls for account administration and data handling.

Any use beyond granted rights, including unauthorized commercial resale of the platform, requires prior written permission from BuildXaite.

12. Prohibited Use

You must not misuse BuildXaite or use it for unlawful, harmful, or deceptive conduct.

• Sending spam, phishing, fraudulent, abusive, or harassing communications.
• Uploading malware, exploiting vulnerabilities, or attempting unauthorized access.
• Infringing intellectual property, privacy, publicity, or other legal rights.
• Using the platform to violate anti-spam, data protection, consumer, or advertising laws.
• Reverse engineering or attempting to extract source code except where legally permitted.

BuildXaite may investigate suspected violations and may suspend or terminate access as described in these Terms.

13. Customer Content

“Customer Content” includes materials you upload, send, generate, configure, or publish through BuildXaite, including text, media, contact records, campaign copy, and templates.

You are solely responsible for Customer Content, including legality, quality, accuracy, permissions, and compliance with rights and regulations.

• You warrant that you have all rights and permissions needed for your content.
• You remain responsible for content distributed via integrations and channels.
• You must promptly remove content that violates law or these Terms.

14. Ownership of Customer Data

As between you and BuildXaite, you retain ownership of Customer Content and data you lawfully provide to the Services.

BuildXaite does not claim ownership of your underlying business data; however, you grant rights necessary for BuildXaite to host, process, secure, and transmit that data to provide the Services.

Aggregated or de-identified usage information may be used by BuildXaite to maintain, improve, and secure the platform, subject to applicable law.

15. License to Operate the Service

You grant BuildXaite a limited, non-exclusive, worldwide, royalty-free license to use, process, store, copy, and transmit Customer Content solely as needed to provide, maintain, and improve the Services.

This license includes rights to engage trusted subprocessors, third-party infrastructure providers, and communication channels where required for service delivery.

The license ends when your content is deleted from active systems, subject to backup retention, legal requirements, and standard archival processes.

16. BuildXaite Intellectual Property

BuildXaite and its licensors retain all rights, title, and interest in the platform, software, models, interfaces, design systems, documentation, and trademarks.

Except for limited rights expressly granted in these Terms, no licenses are granted by implication, estoppel, or otherwise.

• You may not copy or resell the Services without authorization.
• You may not remove or alter proprietary notices.
• You may not create derivative competing services using non-public platform elements.

17. AI-Powered Features

BuildXaite may offer AI-assisted outputs such as content suggestions, workflow recommendations, predictions, and automation logic. AI outputs can be probabilistic and may be incomplete, inaccurate, or context-limited.

BuildXaite AI features are designed to assist users, not replace professional judgment where professional, legal, medical, financial, or regulatory expertise is required.

You are responsible for reviewing and validating AI-generated outputs before acting on them, publishing them, or sharing them externally.

18. Third-Party Integrations

BuildXaite may interoperate with third-party tools, APIs, messaging channels, CRMs, payment providers, analytics tools, and other integrations.

Your use of third-party services is governed by those providers’ terms and policies. BuildXaite is not responsible for third-party products, outages, API changes, pricing, permissions, or security posture.

• You authorize BuildXaite to exchange data with selected integrations.
• Disabling an integration may impact related workflows or historical data views.
• Some integrations may require separate subscriptions or credentials.

19. WhatsApp, Email and Communication Services

If you use BuildXaite for messaging or email delivery, you are responsible for obtaining lawful consent, honoring unsubscribe requests, and complying with communication laws and platform rules.

Delivery rates, inbox placement, and channel availability depend on external carriers and providers. BuildXaite does not guarantee uninterrupted delivery or specific deliverability outcomes.

• Maintain accurate sender identity and lawful campaign practices.
• Avoid deceptive subject lines, headers, and message content.
• Respect suppression lists and opt-out requirements.

20. Website and Funnel Builder

BuildXaite may provide website, page, and funnel building capabilities, including templates, hosting options, forms, and publishing tools.

You are responsible for all content, disclosures, consent mechanisms, and compliance obligations on properties you publish using these tools.

BuildXaite may enforce reasonable platform-level limits and policies to preserve security, performance, and legal compliance.

21. User Responsibility for Compliance

You are solely responsible for determining whether your use of BuildXaite complies with all applicable laws, regulations, industry requirements, and contractual obligations.

• Data protection and privacy laws.
• Consumer protection and advertising standards.
• Recordkeeping and regulatory reporting obligations.
• Sector-specific restrictions relevant to your business.

BuildXaite does not provide legal compliance certification through these Terms.

22. Service Availability

BuildXaite works to maintain reliable platform operation, but service may be affected by maintenance, upgrades, provider dependencies, internet outages, security events, and other technical factors.

Unless separately agreed in writing, BuildXaite does not guarantee uninterrupted or error-free access. Temporary interruptions may occur without prior notice.

Planned maintenance windows may be announced when practical.

23. Platform Updates

BuildXaite may release improvements, patches, interface changes, architectural revisions, and feature updates to maintain performance, security, and product quality.

We may add, modify, replace, or discontinue features, including plan-specific capabilities and APIs, in response to technical, legal, or business requirements.

Continued use after updates constitutes acceptance of the updated functionality.

24. Beta and Experimental Features

BuildXaite may offer beta, preview, or experimental tools for testing and feedback purposes. Such features may be incomplete and may change rapidly.

Beta features are provided “as is” and may have reduced support, narrower uptime expectations, and compatibility limitations.

• Beta features may be withdrawn at any time.
• Data generated in beta areas may be subject to additional constraints.
• Production-critical reliance on beta features is at your own risk.

25. Data and Privacy

BuildXaite processes data in accordance with applicable law and the BuildXaite Privacy Policy .

You are responsible for lawful collection and transfer of personal data that you submit to BuildXaite, including obtaining required notices and consents from end users.

Privacy and security controls may vary by plan, integration, geographic routing, and product area.

26. Data Backup and Export

BuildXaite may provide backup and export functionality, but you remain responsible for maintaining independent copies of business-critical records where required.

Export options, retention windows, and retrieval formats may differ by plan and service module. Certain data may be unavailable after account closure or extended inactivity.

You should perform periodic exports suitable for your continuity needs.

27. Suspension or Termination

BuildXaite may suspend, restrict, or terminate access immediately if we reasonably believe:

• you violated these Terms or applicable law;
• your account presents a security, fraud, abuse, or legal risk;
• payment obligations remain unresolved;
• continued service could harm platform integrity or other users.

Where feasible, BuildXaite may provide notice and remediation opportunity, but this is not guaranteed in urgent risk scenarios.

28. User Termination

You may stop using the Services at any time and may request account closure through available account settings or support channels.

Termination does not relieve you of obligations that arose before termination, including unpaid fees, indemnity obligations, or legal duties tied to your prior use.

Certain data may be retained for legal, audit, security, or fraud-prevention reasons consistent with law and policy.

29. Disclaimers

Except as expressly stated in a written agreement, BuildXaite Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, BuildXaite disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted access.

BuildXaite does not guarantee specific business results, revenue growth, lead volume, conversion rates, marketing performance, or operational outcomes from use of the Services.

Your outcomes depend on many factors outside BuildXaite control, including strategy, market conditions, campaign quality, team execution, data quality, and third-party platform behavior.

30. No Professional Advice

BuildXaite does not provide legal, financial, tax, accounting, medical, regulatory, or other licensed professional advice.

Any templates, automation suggestions, AI outputs, examples, or educational resources are informational and general in nature.

You should consult qualified professionals before making decisions that require specialized expertise.

31. Limitation of Liability

To the fullest extent permitted by law, BuildXaite and its affiliates will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, goodwill, data, or business opportunity.

BuildXaite aggregate liability for all claims relating to the Services will not exceed the amounts paid by you to BuildXaite for the relevant Services during the twelve (12) months preceding the event giving rise to liability.

Some jurisdictions do not allow certain limitations; in such cases, limitations apply to the maximum extent permitted by law.

32. Indemnification

You agree to defend, indemnify, and hold harmless BuildXaite, its affiliates, and their officers, directors, employees, and agents from claims, damages, liabilities, costs, and expenses arising from or related to:

• Your use or misuse of the Services.
• Your Customer Content or communications.
• Your violation of these Terms or applicable law.
• Your infringement of third-party rights.

BuildXaite reserves the right to control defense of indemnified matters, and you agree to cooperate reasonably.

33. Force Majeure

BuildXaite is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, terrorism, civil unrest, labor disruptions, internet backbone failures, utility outages, cyber incidents, government actions, or supplier interruptions.

During force majeure events, obligations are suspended to the extent affected for the duration of the event.

34. Changes to Terms

BuildXaite may update these Terms from time to time to reflect product changes, legal requirements, or operational needs.

Updated Terms become effective on posting or on a specified effective date. Continued use of Services after updates constitutes acceptance of the revised Terms.
